鉴于甲方拟对办公楼进行装修装饰，通过招投标程序，将该工程授予乙方施工并完成； 鉴于乙方具备装修装饰施工的资质，并愿意接受招投标规定的条件，同意承担该工程的施工并完成；
鉴于双方同意遵照《中华人民共和国合同法》、《建筑装饰装修管理规定》、《住宅室内装饰装修管理办法》及有关法律、法规规定履行本合同；
基于本合同之合意、声明、约定及其它约因，双方当事人兹就下列各事项达成协议： procedure, award this project hereby to party B for construction and completion thereof.
WHEREAS party B is with the qualification of decoration engineering, intends to accept bidding conditions and consent to undertake the project construction and complete.
WHEREAS parties hereto agree to execute this contract in accordance with LAW OF CONTRACT, REGULATIONS OF CONSTRUCTION DECORATION MANAGEMENT, ADMINISTRATION RULES FOR INDOOR HOME DECORATION and concerned laws and regulations.
NOW THEREFORE in consideration of the mutual promises, assertions and covenants herein and other good and valuable considerations, the receipts of which is acknowledged hereby, the parties hereby agree as follows:
第一条 工程概况 Work Overview

Contracting Means: General contracting, including contracting of materials and labor, liabilities of quality, work’s safety and work’s schedule.
4、承包内容：包括所有的拆除及改造工程，以附件《工程报价单》为准。
Contracting contents include all works of demolishment and modification, which should be subject to Construction Quotation.
第二条 合同工期Project Period

第三条 装修审批和资质Approval of Project and Qualification of Construction
1、除本合同另有规定外，乙方同意依法办理与装修有关的所有审批、登记及验收手续，包括消防手续。
Unless otherwise provided herein party B agree to process all formalities, which are related to this decoration, of the approval, registration and acceptance in addition to fire protection.
2、乙方保证，其具备符合本工程要求的施工资质。本合同项下甲方发包给乙方的所有装修工程均没有超出乙方资质证书规定的范围。
Party B hereby warranty that its execution qualification conform to this project requirements and none of decoration works hereunder, which are awarded by party A, are beyond the scope of party B’s Certification of Qualification.
第四条 工程价款及付款方式Project Cost and Payment
1、本工程合同价款为人民币： 元整。
2、付款方式：Payment by
（1）在乙方如期完成全部的装修施工工程并经甲方根据第八条验收合格后，甲方将于收到乙方正式发票后30天内按实际完成的工作量及投标单价一次性结算支付全部工程款项。
Upon and after party B’s completion of all decoration works on schedule and making acceptance by party A pursuant to the stipulation of Article 8, party A will , within 30 days of receipt of formal invoice from party B, effect payment in a lump sum of all project amount in accordance with actual completion of works and bidding unit price.
（2）由于设计变更及甲方要求修改等而引起的工程量较大的增减时，须由乙方编制增减工程预算书，经甲方审核确认后，在相应的工程进度款付款时予以结算支付。
Provided that larger increase or decrease of quantity due to design modification and / or party A’s requirement thereof, should be subject to party B’s preparation of engineering budget for the increase or decrease of quantity, which should be reviewed and examined by party A before payment of project progress be settled an paid correspondently.
3、乙方向甲方提供正式税务发票前，甲方没有付款义务。
Party A will not effect payment until and unless party B have provide the formal invoice to party A.
第五条 工程质量要求Requirements of Project Quality
1、乙方严格按照经甲方确认的施工图纸进行施工，随时接受甲方代表或委派人员的检查检验，为检查检验提供便利条件。同时施工严格按照国家规范进行，施工满足设计要求，质量达到工程建设强制性标准、其他技术标准以及本合同的规定。否则，甲方有权要求乙方拆除重建，由此产生的一切费用和损失，包括工期延误的损失，由乙方承担。

representative or designated personnel, for which provide the facilitate conditions. Construction should be carried out in accordance strictly with State’s norms, satisfy design requirements, the quality thereof reach the compulsory standards of construction, other standards concerned and regulations hereof. Otherwise party A is entitle to require party B to dismantle and reconstruct the work from which any and all expense and loss should be undertaken by party B.

根据《中华人民共和国合同法》以及其他相关法律、法规，结合室内装饰的特点，经甲、乙双方友好协商，甲方委托乙方承担室内装饰设计，并达成如下协议。

二、甲方委托乙方室内设计，且乙方不负责施工，其设计收费标准为每平方米

六、违约责任：

七、设计合同经双方签字认可后，甲方必须按合同约定支付设计费。如甲方中途取消合同，乙方不再退还已收取的设计费。
八、除本合同外，甲乙双方之间的所有往来函件，乙方给甲方的资料、图纸等均采用英文。
九、本合同中如有未尽事宜，由双方协商解决, 协商不成，由甲方所在地人民法院裁决。
十、本合同经甲、乙双方签字或盖章后生效。本合同用中英文两种文字写成，两种文字具有同等效力。本合同正本一式四份，双方各二份。

Article 4 ：After the completion of the drawings, if has any changes Party A can communicate with the designer of Party B. Party B must make design changes to drawings according to the consensus, and resubmit the design process. After the drawings confirmation, Party B should sent the design drawings to party A.
Article 5：During the decoration process，Party B must sent to the site to guide at least 3 times to reach the best effect.
Article 6 ：Liability for breach
6.1 If Party B does not complete the design drawings by the appointed time and extension of time within 20 days, it should pay 3% of the design fee each day to Party A for the delay.
6.2 If Party B delay more than___ days to complete the artwork, Party A has the right to rescind the contract, and take back the design cost. Besides, Party B should pay 50% of total design charge as compensation for breach of contract
6.3 In the event that Party B terminates this contract unexcused, it should return the received design fee and bear 50% of the design fee as the compensation.
Article 7：This contract will come into force after being signed by both parties, Party A must pay the design charge to Party B on time. And party B has the right to refuse of returning the design cost when party A broke the contract unilateral.
Article 8：Correspondence except this Contract between Party A and Party B, documents and drawings prepared by Party B shall be in the English language.
Article 9：There are outstanding issues such as contracts, both sides resolved through consultation. Or that can be accomplished by the people's court ruling by the seat of Party A. Article 10：This Contract shall come into force after the signatures by the authorized representatives of both parties. The Contract is made in two counterparts each in Chinese and English, both versions are equally authentic. The Contract is in four (4) originals, two (2) for the Party A and two (2) for the Party B.

2.0 EXCLUSIONS除外方面
2.1 Areas not included in the Design Consultant’s scope of work are External
Building Works, Civil and Structural Engineering, External Landscape, Mechanical and Electrical Engineering, Plumbing & Air Conditioning Engineering, Quantity Surveying & Computer 3D animation.
不包含在设计咨询服务范围的领域是室外建造工程，土木及结构工程，外部景观，机电工程，水暖和空调系统工程，工料测量和电脑三维动画。
2.2 While the scope of works includes supervision and installation, it does not cover the maintenance or defects liability period following the award of the ‘Practical Completion Certificate’ to the contractor if any.
