本协议双方为了发展贸易，在平等互利的基础上，按下列条件签定本协议。
This agreement is entered into between the parties concerned on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follows:

4 定单的确认
关于协议所规定的上述商品的每笔交易，其数量、价格及装运条件等须经甲方确认，并签定销售确认书，对交易做具体规定。
Confirmation of orders
The quantities, prices and shipment of the commodities stated in this Agreement shall be confirmed for each transaction, the particulars of which are to be specified in the Sales Confirmation signed by the two parties hereto.
5 付款
订单确认后，乙方须按照有关确认书所规定的时间开立以甲方为受益人的保兑的、不可撤消的即期信用证。乙方开出信用证后，应立即通知甲方，以便甲方准备交货。
Payment
After confirmation of the order, Party B shall arrange to open a confirmed, irrevocable L/C a vailable by draft at sight in favour of Party A within the time stipulated in the relevant S/C. Party
B shall also notify Pary A immediately after L/C is opened, so that Party A can get prepared for
delivery.
6 佣金
在本协议期满时，乙方完成了第二款所规定的数额，甲方当按装运货物所受到的全部发票金额付给乙方_____%的佣金。
Commission
Upon the expiration of the Agreement and Party B''s fullfilment of the total turnover mentioned in Article 2, Party A shall pay to Party B_____% commission on the basis of the aggregate amount of the invoice value already paid by Party B of the shipments effected.
7 市场情况报告
乙方每三个月向甲方提供一次有关当时市场情况和用户意见的详细报告。同时，乙方应随时向甲方提供其它供应商所给的类似商品的样品及其价格、销售情况和广告资料。 Reports on Market Conditions
Party B shall forward once every three months to Party A detailed reports on current market conditions and of consumers comments. Meanwhile, Party B shall, from time to time, send to Party A samples of similiar commodities offered by other suppliers, together with their prices, sales informaiton and advertising materials.
8 宣传广告费用
在本协议有效期内，乙方在上述经销地区内所作广告宣传的一切费用，由乙方自理。乙方须事先向甲方提供宣传广告的图案及文字说明，由甲方审阅同意。
Advertising & Publicity Expenses
Party B shall bear all expenses for advertising and publicity within the aforementioned territory in the duration of this Agreement and submit to Party A all patterns and / or drawings and description for prior approval.
9 协议有效期
本协议由双方签字后生效，有效期_____年，自_____至_____。若一方希望延长本协议，则须在本协议期满前一个月书面通知另一方，经双方协商决定。
若协议一方未履行协议条款，另一方有权终止协议。
Validity of Agreement
This agreement, after its being signed by the parties concerned shall remain of in force for_____as from _____ to _____ If either party wish to extend this Agreement, he shall notice, in writing, the other party one month prior to its expiration, the matter shall be decided by consent of the parties hereto.
Should enther party fail to implement the terms and conditions herein, the other party is entitled to terminate the Agreement.
10 仲裁
在履行协议过程中，如产生争议，双方应友好协商解决。若通过友好协商未能达成协议，则提交中国国际贸易促进委员会对外贸易仲裁委员会，根据该会仲裁程序暂行规定进行仲裁。该委员会决定是终局的，对双方均有约束力。仲裁费用，除另有规定外，由败诉一方负担。 Arbitration
All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. The decesion made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.
11 其它条款
（1） 甲方不得向经销地区其它买主供应本协议所规定的商品，如有询价，当转给乙方洽办。若有买主希望从甲方直接订购，甲方可以供货，但甲方须将有关销售确认书副本寄给乙方，并按所达成交易的发票金额给乙方_____%的佣金。
（2） 若乙方在_____月内未能向甲方提供至少_____的订货，甲方不承担本协议的义务。
（3） 对双方政府间的贸易，甲方有权按其政府的授权进行有关的直接贸易，而不受本协议的约束。乙方不得干涉此种直接贸易，也无权向甲方提出任何补偿或佣金要求。
（4） 本协议受签约双方所签定的销售确认条款的制约。
11 Other Terms&Conditions
(1) Party A shall not supply the contracted commodity to any other buyers in the above mentioned territory. Direct enquiries, if any , will be referred to Party B. Howerver, should any other buyers wish to deal with Party A directly, Party A may do so, But Party A shall send to Party B a copy of sales confirmaiton and give party B_____% commission(s) concluded.
(2) Should Party B fail to pass on his orders to Party A in a period of _____ months for a minimum of _____, Party A shall not bind himself to this Agreement.
(3) For any business transacted between governments of both Parties, Party A may handle such direct dealings as authorized by Party A''s government without binding himself to this Agreement. Party B shall not interfere in such direct dealings, nor shall Party B bring forward any demand for compensation therefrom.
(4) This Agreement shall be subject to the terms and conditions in the Sales Confirmation signed by both parties hereto.

2.1. 乙方代理权限为 1、一般代理。或2、代为承认、放弃、变更诉讼请求，进行和解、调解，提起反诉或者上诉，申请执行，代为签收、签发法律文书。
The agency authority of Party B is: 1.General agency; 2. To admit, waive or modify claims, to participate in reconciliation or mediation, to file a counterclaim or an appeal, to apply for execution, to sign or issue legal instruments on Party A’s behalf.
3. 甲方义务/Responsibility of Party A
3.1. 积极配合乙方律师相关工作，提供必要的文件资料，并对所提供文件资料的真实性、
合法性、准确性及完整性负责；
Party A should cooperate with the work of Party B positively and provide necessary materials. Party A should be responsible for the authenticity, legality, accuracy and completeness of the documentation provided;
3.2. 甲方必须如实向乙方律师陈述案情，提供有关本案的证据。乙方接受委托后，发现
甲方捏造事实弄虚作假，有权终止法律服务，依约所收费用不予退还；
Party A should present its case to Party B truthfully and provide evidence of the case. After accepting the commission, Party B has the right to terminate the legal services if Party A fabricates the facts or frauds. The fees which have been charged according to the contract are non-refundable.
3.3. 根据本协议按时、足额向乙方支付法律服务费。
Party A should, in accordance with this contract, pay the legal service fees in full and on time to Party B.
4. 乙方义务/Responsibility of Party B
4.1. 乙方应勤勉尽责、谨慎地执行甲方委托的法律事务，依法维护甲方合法权益；
Party B should be positive and responsible for Party A to provide services within the scope of the contract, and to do its utmost to safeguard the interests of Party A;
4.2. 无论何时，乙方对服务过程中获知的甲方任何秘密均负有保密义务，非由法律规定、
司法裁决或者甲方同意，不得向任何第三方披露；
Whenever, informed of Party A’s all information, party B should undertake the duty of confidentiality obligations, and should not disclose them to any
third party without the permission of Party A, laws or judicial decisions;
4.3. 乙方对甲方业务应当单独建档，应当保存完整的工作记录，对涉及甲方的原始证据、
法律文件应当妥善保管。
Party B shall keep separate files and complete documents of the work records
for Party A. The original evidence and legal files related to Party A should be kept properly.
5. 收费/Charge
5.1.
5.2. 因本协议工作需要，乙方律师在武汉中心城区（不包括江夏、新洲、汉南、黄陂、
蔡甸、东西湖等远城区）内花费的交通费由乙方承担。
Due to the needs of the legal work of this contract, party B’s transportation expenses spent in the Wuhan Center City(not including Jiangxia, Xinzhou, Hannan, Huangpi, Caidian, East and West lake and other remote city areas) should be borne by Party B.
5.3. 因本协议工作产生的文印费、翻译费、相关部门收费及武汉中心城区外的交通、食
宿等必要费用由甲方承担。
Due to the legal work of this contract, the text printed fees, the translation fees, the government fees and charges, transportation expenses, accommodation, catering and other necessary expenses that may occur outside the Wuhan Center City should be borne by Party A.
6. 通知和送达/ Notice and Service
6.1. 甲乙双方因履行本协议而相互发出或者提供的所有通知、文件、资料，均以本协议
所列明的地址、传真或电子邮件送达，一方如果迁址或者变更电话、传真、电子邮件的，应当以书面形式通知对方。
All notifications, files and data mutually issued by both parties arising from the performance of this Agreement should be served according to the address, fax or e-mail specified in this Agreement; Any party shall notify the other party in writing in the occasion of relocation or changing the phone, fax, or e-mail.
6.2. 使用传真方式的，在发出传真时视为送达；以邮寄方式的，挂号寄出或投邮日视为
送达；使用电子邮件方式的，邮件发送成功视为送达。
By fax, the fax is deemed served upon the issue; by mail, the mail is deemed
served on the date of posting or registering; by e-mail, the message is deemed served when sent successfully.
7. 协议的终止/ Termination of Agreement
7.1. 本协议的双方经协商一致后可终止本协议。
Upon the agreement of both parties the contract can be terminated.
7.2. 本代理协议涉及的纠纷各方达成和解，或一审（二审）判决、调解、案外和解及撤
回起诉，则属于乙方律师完成代理工作，本协议终止。
If the parties of the dispute involved in this Agreement reached a settlement agreement, mediation, reconciliation or got the first trial (second trial) judgment, or withdrew the prosecution, the agency work of Party B is completed and this Agreement is terminated.
7.3. 本协议终止后，双方应进行相应的清理和工作交接。
Upon the termination of this Agreement, the parties shall make the appropriate cleanup and transfer of work.
8. 争议解决/Dispute Resolution
8.1. 双方在履行本协议过程中发生争议的，由双方协商解决。
In the course of performance of this Agreement, disputes should be resolved through friendly consultations.
8.2. 协商不能解决的，可向武汉仲裁委员会申请仲裁。
If consensus can’t be agreed upon, any party may apply to the Wuhan Arbitration Commission for arbitration.
9. 其他/Others
9.1. 本协议一式两份，双方各执一份，具有同等法律效力。
This contract has two originals; party A and B each has one. Each one has the equal legal effect.
9.2. 本协议未尽事宜由甲、乙双方另行协商解决。
Parties hereto may revise or supplement the matters not mentioned herein through negotiation.
